Grayscale has moved forward with a new SEC regulatory filing, aiming to convert its established Litecoin Trust into an exchange-traded fund (ETF). The company submitted an amended S-3/A registration statement on September 11, seeking to rename the instrument as the Grayscale Litecoin Trust ETF and to list its shares on NYSE Arca.
Litecoin market and current trust structure
Litecoin (LTC) remains one of the leading cryptocurrencies by market capitalization. At the time of the latest update, LTC trades at around $53.45, reflecting a 0.6% decline over the past 24 hours. The digital asset’s price has fluctuated between $53.41 and $54.24, with a market capitalization of approximately $4.15 billion and a circulating supply of about 77.6 million LTC.
Grayscale’s Litecoin Trust, launched in January 2018, currently trades on over-the-counter markets under the ticker LTCN. The structure of the trust often results in share prices that either significantly exceed or fall below the value of underlying Litecoin holdings. For example, between August 2020 and June 2026, the trust’s shares traded at a premium as high as 5,893% and at a maximum discount of 67%. Average premiums were 592% while average discounts accounted for 26%.

Recent figures highlight that the discount issue persists. On September 9, LTCN closed at $4.01, reflecting an 8% discount to its net asset value. As of June 30, the trust reported an NAV of approximately $82.3 million and $3.39 in NAV per share.
Shares of LTCN have repeatedly traded at prices much higher or lower than the value of the Litecoin held by the trust, sometimes reaching extreme premiums or discounts over multi-year periods.
ETF conversion process and market competition
The recent SEC filing does not permit the Litecoin ETF to begin trading immediately. NYSE Arca must still grant approval for the listing process, unless the SEC opts to bypass a separate approval. This step follows a process that began in January 2025 when NYSE Arca filed a Rule 19b-4 application to facilitate the trust-to-ETF conversion. As of September 11, the application remained pending.
If the conversion is approved, the fund will move from an OTC trust to a listed ETF, incorporating standard creation and redemption mechanisms. The new structure would allow authorized participants to create or redeem baskets of 10,000 shares in cash, helping to keep ETF prices more closely aligned with the underlying asset. Coinbase, a major US-based crypto exchange, is set to serve as the ETF’s prime broker and provide custody for the assets.

Outstanding approvals and next steps
Grayscale’s conversion proposal also coincides with a decline in the size of its Litecoin Trust. The trust held more than $215 million in assets during early 2025, but assets dropped to about $82.3 million as of June 2026, reflecting growing competition and shifting investor interest in the sector.
For the conversion to take effect, NYSE Arca’s exchange-listing approval remains essential. The SEC has not yet issued a decision on the pending application. Until the process concludes, the LTCN product continues to trade as an OTC trust rather than an ETF, and the move to a listed structure will depend on regulatory reviews and approvals.
If approved, the Grayscale Litecoin Trust ETF would let investors access Litecoin through established brokerage accounts, making it easier for traditional investors to engage with the cryptocurrency market without managing LTC wallets directly.
