BlackRock has decreased the minimum amount of Bitcoin required for direct in-kind conversions into its spot Bitcoin ETF, iShares Bitcoin Trust (IBIT), to $1 million. The move reduces the previous threshold of $25 million by 96%, opening up access to a broader segment of wealthy investors and institutions who custody Bitcoin directly.

Broader access for direct Bitcoin ETF conversions

The revised minimum means a wider group of Bitcoin holders can now convert their cryptocurrency into IBIT shares without liquidating their assets. US-based asset manager BlackRock, recognized as the world’s largest investment firm, aims to streamline the transition for investors seeking an institutional-grade vehicle for Bitcoin exposure.

Bitwise Asset Management, another major ETF provider, also lowered its direct Bitcoin conversion minimum, dropping the threshold from $100 million to $3 million. Both changes are expected to encourage more direct asset transfers into regulated ETFs instead of maintaining self-custody.

On August 25, IBIT reported net assets totaling $60.65 billion, with a 0.25% annual sponsor fee charged to investors. This fee structure positions IBIT competitively among US-listed spot Bitcoin ETFs.

Rise in in-kind Bitcoin conversions

In-kind conversions allow eligible participants to transfer Bitcoin directly into the ETF in exchange for shares, granting equivalent market exposure without generating a taxable sale at the time of transfer. Investors can bypass the need to sell Bitcoin for cash and subsequently purchase ETF shares.

Robbie Mitchnick, BlackRock’s head of digital assets, said IBIT has processed over $5 billion worth of Bitcoin via in-kind conversions. This figure has grown from approximately $3 billion in October, demonstrating increased demand for the feature among institutional clients.

People see things happen in the outside world that make them want to move away from self-custody and toward regulated products.”

The rise in conversions reflects a shift among asset holders seeking both efficiency and regulatory compliance when transferring large Bitcoin positions into publicly traded investment products.

In the context of spot Bitcoin ETFs, in-kind conversions let investors deliver their Bitcoin to the fund in return for ETF shares representing equivalent exposure, potentially reducing certain tax implications if structured properly.

Security and custody concerns

Mitchnick indicated that growing concerns about digital security, hacks, and physical threats such as kidnappings have prompted some Bitcoin holders to reconsider self-custody options. Managing private keys, backup phrases, and hardware devices involves significant risks of theft or loss.

Holding IBIT shares on Nasdaq eliminates this personal custody burden, although shareholders cannot directly withdraw or transfer the underlying Bitcoin. Instead, investors hold shares that track the spot price of Bitcoin before fees.

Mitchnick highlighted that regulatory and safety factors are increasingly influencing the decision to transfer assets from personal storage into regulated ETF structures.

Tax implications and regulatory updates

Eligible investors making in-kind conversions may benefit from deferring recognition of taxable events, unlike those who sell Bitcoin and buy ETF shares on the open market. However, tax outcomes depend on individual circumstances, including local regulations and transaction details.

The US Securities and Exchange Commission (SEC) authorized in-kind creations and redemptions for spot crypto ETFs in July 2025, clarifying operational procedures for authorized participants but not introducing uniform tax treatment. Regular investors may continue to buy or sell IBIT on Nasdaq without participating in these large-scale conversion programs.

BlackRock’s latest filings confirm that authorized participants can manage direct in-kind transactions within the ETF trust, shaping new options for institutional asset flows in the cryptocurrency market.
