Institutional Shareholder Services (ISS), a major provider of proxy advisory services, is facing an enforcement action from the US Securities and Exchange Commission (SEC) after allegedly refusing to produce documents requested by the regulator. The SEC filed its action on September 4, 2026, in the US District Court for the Eastern District of Pennsylvania, seeking to compel ISS to comply with a subpoena issued in July 2026.

The SEC stated that its examination staff first made routine information requests to ISS, but the firm reportedly declined to provide full compliance. In response, the SEC issued an administrative subpoena on July 21, 2026, demanding records related to ISS’s compliance with federal securities laws.

According to the agency, ISS has continued to withhold certain requested documents, which the SEC claims has delayed its examination and oversight activities. The Commission described itself as the primary regulator for ISS, which is registered as an investment adviser with the SEC.

In its filing, the SEC argued that the requested records are critical to its statutory responsibilities, including investor protection and regulatory oversight. The case does not address the substance of ISS’s proxy recommendations but focuses strictly on gathering information for evaluation of the firm’s adherence to securities regulations.

Further discussion from Matthew Sigel, Head of Digital Assets Research at VanEck, expanded the topic to concentration among leading proxy advisers and referenced Glass Lewis, another major industry player. Sigel remarked that VanEck portfolio managers must justify any decision to override Glass Lewis recommendations, placing both ISS and Glass Lewis at the center of debates over influence on corporate governance.

Both ISS and Glass Lewis offer advice to institutional investors ahead of shareholder votes, and their recommendations can shape outcomes in corporate elections. The case involving ISS centers on document compliance, but it points to broader questions regarding the role and oversight of firms with significant proxy influence.
