SEC Chair Paul Atkins delivered on his earlier commitment to advance crypto regulation independently of legislative action, as the Securities and Exchange Commission announced the Innovation Exemption. This move opens a regulated route for on-chain trading involving tokenized National Market System (NMS) equities.

The SEC’s new approach to tokenized securities

The SEC has issued an order that temporarily and conditionally exempts Tokenized Securities Venues (TSVs) from the traditional “exchange” definition under the Securities Exchange Act of 1934. This exemption enables TSVs to support trading of tokenized NMS stocks via permissioned automated market makers and AMM Liquidity Pools, without adhering to all standard exchange requirements.

According to Atkins, this regulatory step is meant to bring the US capital markets up to date with digital innovation. He described the development as a “significant step forward, within its statutory authority, to bring America’s capital markets into the digital age.”

Today, the SEC takes a significant step to advance on-chain trading of certain tokenized stocks through the Innovation Exemption, with the aim of modernizing US capital markets.

The order follows the Senate’s recent failure to pass the CLARITY Act, leaving a notable gap in statutory crypto regulation. As a result, the SEC acted on its own authority to provide a framework for digital asset markets.

The Innovation Exemption explained

TSVs can now set their own access standards, determining who can participate in tokenized equity trading pools. The SEC’s order also provides a conditional dealer exemption for liquidity providers using their own capital to supply tokenized NMS stock within a TSV. These measures are seen as crucial to fostering a compliant environment for blockchain-based assets.

This move aligns with current crypto network infrastructures and represents a marked shift from the agency’s past focus on enforcement actions toward proactive rulemaking.

Potential impact on XRP and the crypto ecosystem

The regulatory change comes as a notable development for XRP, a digital asset that Ripple, a US fintech company specializing in global payment protocols, has highlighted as a bridge for settlement and liquidity in institutional transactions. The Innovation Exemption helps legitimize on-chain markets as recognized platforms for trading securities, potentially expanding the scope for digital assets such as XRP in regulated financial activities.

By formalizing the use of public blockchain technology in securities markets, the SEC’s approach introduces new opportunities and regulatory clarity for institutional crypto use cases. The latest order may set a precedent for further integration of tokenized assets in traditional financial systems.

The SEC’s shift to building regulatory frameworks marks a key change, laying essential groundwork for a compliant on-chain financial ecosystem.

The road ahead for digital asset regulation

While the Senate’s rejection of the CLARITY Act delayed a clear legislative path for digital asset oversight, Atkins emphasized the SEC is prepared to act using its current authority. He continues to urge Congress to pursue statutory clarity but insists regulatory progress will proceed regardless.

Other US regulators such as the Commodity Futures Trading Commission have also signaled a willingness to implement reforms and guidance for the crypto sector. In the coming weeks, further developments in digital asset policy and enforcement are expected.
