Aave Labs has introduced a sweeping new governance proposal to its community, titled the “Aave Will Win Framework.” Presented on February 12, the plan centers on the forthcoming Aave V4 and aims to channel all revenues generated from Aave’s suite of products directly into the Decentralized Autonomous Organization (DAO) treasury. By institutionalizing brand protection and creating a token-focused project roadmap, the proposal seeks to usher in a more robust corporate structure for the Aave ecosystem. Although voting has yet to begin, the framework reflects a decisive intent to reshape Aave’s operations in anticipation of evolving industry dynamics.

Regulatory Easing in the US Rethinks DeFi Strategies

Aave’s proposal is more than a shift in financial strategy—it responds directly to changing regulatory conditions, especially in the United States. Observers have noted a recent softening of the once-stringent crypto regulations, particularly those enforced from 2022 to 2024. Aave specifically points to increasing regulatory clarity in certain markets. This perception is corroborated by industry data: under the leadership of SEC Chair Paul Atkins, the number of crypto-related enforcement actions by the U.S. Securities and Exchange Commission dropped by a third year-on-year, alongside a steep decline in fines. Notably, the SEC’s 2026 examination priorities assign less focus to crypto assets than in previous cycles. Moreover, a high-profile lawsuit against the agency was voluntarily withdrawn, drawing connections to a more favorable stance toward the sector under the Trump administration. The Justice Department has similarly scaled back, disbanding its crypto enforcement team and moderating its oversight activities.

The evolution of regulatory approaches and decreased enforcement have prompted DeFi protocols like Aave to reassess their growth and risk strategies, industry experts suggest.

DAO Governance Model Embraces Institutional Revenue Management

By outlining a more comprehensive approach than traditional tokenomics, Aave’s new proposal envisions a transformative governance structure. Should it gain approval, the DAO would directly receive revenues from multiple sources—including the aave.com interface, mobile app, card products, Aave Pro, and Horizon. The Aave team highlights that integrations such as annual swap fees could generate around $10 million, while Aave V3 might deliver over $100 million yearly to the protocol. These substantial inflows would enable the DAO to transcend its current governance focus, taking charge of brand stewardship, capital allocation, and the development of regulated financial products—pushing Aave closer to an institutionally robust organization.

DeFi Protocols Pivot to Sustainable Value Capture

Aave’s direction reflects a broader DeFi trend, as leading protocols like Uniswap embark on similar paths to institutionalization. Uniswap’s “UNIfication” roadmap, for example, proposes distributing protocol fees and burning UNI tokens to benefit holders. According to DeFiLlama, 17% of fees gathered on Uniswap V2’s Ethereum network have been used to buy back and burn UNI tokens—a value-capture tactic echoed by projects like Pendle, which adopt shareholder-style income distribution. Enhanced data infrastructure has made it possible to track fees and value flows precisely, moving governance tokens from opaque promises to clear, revenue-driven models attractive to institutional participants.

The Uncertain Road Ahead: Regulation and Competition

Aave’s proposal remains vulnerable to potential regulatory reversals. Should authorities resume strict oversight—especially concerning revenue-capture mechanisms—projects may be forced to freeze such practices or relocate operations overseas. If product revenues disappoint or competitors offer more enticing financial models, the proposal’s appeal could wane. Additionally, if agencies like the SEC or Department of Justice reevaluate and label revenue-sharing as securities violations, a wide array of value-capture strategies across DeFi could be jeopardized.

DeFi Faces Multiple Scenarios in a Shifting Landscape

The DeFi sector stands at a crossroads, with three primary scenarios under debate. First, if regulatory flexibility persists, more DAOs may formalize direct revenue streams. Second, protocols may continue experimenting with cautious, selective models even amid regulatory improvements, due to ongoing uncertainty. Alternatively, a renewed regulatory clampdown could force protocols back into defensive postures or restrain their ability to distribute revenues. Across all possibilities, the future of income-sharing in DeFi will hinge on the stance taken by the SEC and other key regulators, which continues to be the sector’s most pivotal concern.
