Evernorth, a digital asset treasury backed by Ripple and focused on the XRP ecosystem, has completed its merger with Armada Acquisition Corp. II. Nasdaq Debut and Deal Structure
The company plans to begin trading on Nasdaq under the ticker XRPN on Monday, October 12. The completed transaction unifies Evernorth, Pathfinder Digital Assets, Ripple, Armada, and two merger subsidiaries. As part of the agreement, Pathfinder and the previous Armada entity have become wholly owned subsidiaries of Evernorth.
Armada finalized its relocation from the Cayman Islands to Delaware on October 8, adopting the name Arrington Capital SPAC I Inc. This structural change streamlines operations and aligns the company with U.S. regulatory expectations as the new entity moves ahead with its public listing.
Capital and Treasury Strategy
A key component of the deal involves approximately 473 million XRP and $300 million in cash proceeds. These resources are intended to support Evernorth’s ongoing strategy of building a digital asset treasury focused on the XRP Ledger.
