Metaplanet, a Tokyo-listed company recognized for adopting Bitcoin as its primary treasury reserve asset, has announced plans to acquire a controlling stake in Super League Enterprise, a Nasdaq-listed company. This move is set to expand Metaplanet’s bitcoin treasury strategy into the United States and may provide access to new capital markets.
Major Bitcoin Contribution and Platform Rebranding
Chief Executive Simon Gerovich stated that Metaplanet will contribute 2,100 bitcoin, valued at approximately $135 million at current market prices, along with $2.5 million in cash to Super League Enterprise. The company plans to rename Super League as Superplanet, transforming it into Metaplanet’s dedicated US bitcoin treasury platform.
The 2,100 BTC transfer represents just under 5% of Metaplanet’s total bitcoin holdings, which stand at 43,000 BTC. The contributed bitcoin will come exclusively from Metaplanet’s existing reserves, meaning the transaction does not involve any new bitcoin purchases.
Gerovich reported that after the restructuring, Metaplanet will be able to raise funds in Japan while Superplanet can access capital in the US. This dual-market setup is designed to support both companies as they pursue various opportunities for expanding their bitcoin holdings.
Deal Structure and Strategic Expansions
The transaction remains subject to customary closing conditions, including approval from Super League Enterprise shareholders. If approved, the deal is expected to close in the fourth quarter of 2026.
Proceeds from capital raised in either Japan or the US could be deployed to advance the group’s broader bitcoin treasury objectives. Metaplanet suggested that Superplanet might also move forward with acquisition opportunities in the US bitcoin treasury sector, which could be unavailable to the Japanese parent company.
Recent trading activity in Super League Enterprise saw a significant acceleration, with share volume soaring from about 393,000 to 37.3 million, representing a nearly 95-fold increase, according to data from Yahoo Finance.
Market Position and Industry Shifts
Metaplanet currently holds the position of the third-largest corporate bitcoin holder globally, trailing Twenty One Capital by about 500 BTC. Twenty One Capital, a publicly listed entity backed by Tether, Bitfinex, and SoftBank, was established to strengthen its bitcoin per-share value through aggressive accumulation strategies.
Metaplanet’s last bitcoin acquisition occurred in early July, as recorded by BitcoinTreasuries.NET. In contrast, Michael Saylor’s Strategy remains the top corporate bitcoin holder with more than 840,000 BTC. Strategy has reportedly sold bitcoin in recent months to finance dividends, buybacks, and bolster its US dollar reserves, reflecting the capital-management complexities that publicly traded bitcoin treasury companies face.
While both Metaplanet and its US platform look to diversify capital-raising channels, examples like Strategy illustrate how the need for liquidity and shareholder returns can lead even major corporate bitcoin holders to sell some reserves.
